What is a carve out clause and where does it live in the contract?

A carve out clause is a written authorization in the SAP master agreement that protects specific third party tools by name. It defines the named platforms, the use cases, the API surface, the volume limits, and the renewal mechanics. The clause sits in the master agreement, not the policy document, and survives future policy revisions while the master agreement is in force.

Should we replace third party tools with SAP equivalents?

Usually no. Replacement is right only in narrow cases such as an end of contract event, a low value use case, or an unambiguously out of scope API. In most cases the third party tools deliver capability the SAP stack does not match and the cost of replacement, including licenses, migration, productivity loss, and capability gap, exceeds the cost of a negotiated carve out.

What is the AI orchestration envelope clause?

The AI orchestration envelope is a separate clause that protects the customer's right to query SAP data from non SAP AI platforms. It names the AI platforms permitted, the data classes they may query, the use cases they may serve, the volume limits, and the refresh cadence. Without the envelope, SAP may argue the customer's AI program is non compliant in a future audit.

Does the policy apply to data already extracted before the effective date?

This is a separate negotiation. The carve out framework should confirm the customer's continued ownership of pre policy data extracts. Many enterprises miss this clause and end up with ambiguity over historical analytics data sitting in Databricks, Snowflake, or other lakehouse platforms.
