Enterprise AI Governance Contracts: Protecting Your Data, IP & Business in AI Vendor Agreements
AI vendors are writing contracts that give them rights to your data, limit their liability for AI errors, and make it difficult to exit once you are embedded. Most enterprise legal and procurement teams are reviewing these agreements with frameworks built for traditional software โ and missing the AI-specific provisions that carry the highest commercial and legal risk.

Why Standard Software Contract Frameworks Fail for AI
Traditional enterprise software agreements are built around defined functionality: the software does what the specification says, and the vendor is liable when it does not. AI fundamentally breaks this model in three ways that most standard contract templates do not address:
- Non-deterministic outputs: AI models produce different outputs for identical inputs across runs. Traditional defect liability โ "the software doesn't perform as specified" โ has no clean analogue when the output is probabilistic by design.
- Training data dependency: AI model quality depends on training data that the vendor controls and updates. A model update can materially change output quality without any software defect, and without the enterprise's knowledge or consent.
- Data as a commercial input: Unlike traditional SaaS where enterprise data is processed and returned, AI vendors have a commercial incentive to use enterprise data to improve their models. Standard data processing agreements are not designed to address this dynamic.
Addressing these three structural differences requires AI-specific contract provisions. Below is the complete set of provisions every enterprise AI agreement should contain โ and the negotiation approach for each.

Every enterprise AI agreement must contain an explicit contractual prohibition on the vendor using your data โ prompts, inputs, outputs, and fine-tuning datasets โ to train or improve their foundation models. This is not a "nice to have." It is the baseline for any enterprise deployment of a third-party AI system.
Most major vendors now include training opt-outs as default in enterprise tiers โ but the provisions differ materially:
- OpenAI Enterprise: Default opt-out from model training. Does not apply to the pay-as-you-go API tier โ developers testing on the standard API are not opted out by default.
- Anthropic Claude: Enterprise agreements include training opt-out. Claude.ai consumer product has more permissive training terms โ ensure your enterprise agreement is distinct from any consumer or team accounts within your organisation.
- Google Vertex AI: Enterprise customers are opted out of training by default. Google Workspace AI features (Gemini in Docs, Gmail) have separate terms โ do not assume Vertex AI opt-outs extend to Workspace.
- AWS Bedrock: AWS does not use customer data to train the foundation models accessed via Bedrock. This is contractually committed in the AWS Service Terms.
- Meta Llama (self-hosted): The Llama Community Licence does not involve data transmission to Meta โ the model runs on your infrastructure, eliminating this risk category entirely.
The negotiation point is not simply whether a training opt-out exists, but whether it covers all data categories. Confirm your opt-out explicitly covers: (a) prompt inputs, (b) model outputs, (c) metadata about your usage patterns, and (d) fine-tuning datasets if you use the vendor's fine-tuning service.
2. Output Ownership: Who Owns What the AI Produces
AI output ownership is one of the most commercially significant and least understood provisions in AI contracts. The default position of most enterprise AI vendors is to assign output ownership to the customer โ but with important caveats.
Copyright Uncertainty
Even if a vendor assigns output ownership to you contractually, that assignment may not translate to enforceable copyright. In most jurisdictions (US, EU, UK), AI-generated outputs with no or minimal human creative input are not eligible for copyright protection. The vendor can give you all the rights they have โ but if the output has no copyright to assign, the assignment is commercially hollow.
For enterprise use cases where copyright protection of AI outputs is commercially material โ marketing copy, code, product descriptions โ your legal team must assess the copyright position in each relevant jurisdiction, independent of vendor contractual claims.
IP Indemnification
The more practically significant output ownership provision is IP indemnification: will the vendor defend you if a third party claims that AI outputs infringe their copyright or trade secrets? Major vendor positions:
- OpenAI: Provides IP indemnification for enterprise API customers for outputs from GPT-4 and later models, subject to usage policy compliance.
- Anthropic: Provides limited IP indemnification under enterprise agreements. Scope and caps are negotiable.
- Google: Provides IP indemnification for Vertex AI outputs as part of its standard indemnification framework for Google Cloud services.
- Meta Llama: No IP indemnification โ the Llama Community Licence explicitly disclaims all warranties and liability. See our Llama licensing guide for how to manage this gap.
- Mistral: Standard enterprise agreements do not include IP indemnification as of early 2026. This is a negotiating point for enterprise customers.

Prompts sent to AI APIs contain your enterprise's most sensitive operational knowledge: business processes, customer data, legal analysis, financial models, and strategic plans. The confidentiality provisions in your AI agreement must address:
- No sharing of prompt content between customers: Explicitly confirm that your prompts cannot be exposed to or used by other vendor customers โ a concern that became visible after early AI system incidents where cross-contamination of context was theoretically possible.
- Human review limitations: Most AI vendors reserve the right to have humans review interactions for safety and quality purposes. Negotiate explicit limitations on human review of your organisation's prompts โ or at minimum, strict confidentiality obligations on any reviewer and a prohibition on reviewers accessing outputs for commercial purposes.
- Logging and retention: Understand what the vendor logs, how long logs are retained, and whether you can request deletion. GDPR Article 17 rights to erasure apply to personal data in prompts โ ensure your vendor agreement supports your ability to fulfil these obligations to data subjects.
4. Audit Rights
AI vendor audit rights are almost universally weak in standard enterprise agreements โ and almost universally essential for organisations operating under financial services, healthcare, or public sector compliance frameworks. The provisions you need:
- Right to audit data processing practices: Direct audit rights are rarely granted by AI vendors. The practical substitute is a SOC 2 Type II report covering the specific services in your agreement, updated at least annually. Ensure the SOC 2 scope explicitly covers AI inference workloads and training data governance โ not just platform security controls.
- Model change notification: Require advance notification (minimum 30 days, ideally 90 days) of material changes to model behaviour, training datasets, or safety filtering that could affect your use case. Model updates that silently change output characteristics are an operational risk most standard agreements do not address.
- Sub-processor transparency: AI vendors use sub-processors for infrastructure, safety review, and fine-tuning services. Require disclosure of sub-processors involved in processing your data, and the right to object to new sub-processors under GDPR Article 28 requirements.
5. Liability Caps for AI Errors
AI hallucinations โ factually incorrect, misleading, or harmful outputs โ create enterprise liability exposure that traditional software liability frameworks do not address. Key provisions:
Vendor Liability Caps
Standard enterprise AI agreements cap vendor liability at 12 months of fees paid โ a provision borrowed from traditional SaaS agreements. For enterprise AI deployments where an AI hallucination in a customer-facing application could cause material third-party harm (medical advice, legal guidance, financial recommendations, safety instructions), 12 months of API fees is unlikely to be proportionate to potential liability. Negotiate higher caps for high-risk use cases, or structure your deployment to ensure human review of AI outputs before they reach end users in high-stakes contexts.
Consequential Loss Exclusions
All major AI vendors exclude consequential loss โ the downstream business impact of AI errors โ from their liability. This is standard in enterprise software agreements, but the practical impact is more significant for AI than for traditional software because AI outputs are frequently used in business decisions where the "output" is information, not a transaction. Mitigate this risk through application design (human-in-the-loop for consequential decisions) rather than contract negotiation โ it is rarely possible to negotiate away consequential loss exclusions.
6. GDPR and EU AI Act Compliance Provisions
Two regulatory frameworks require specific contractual provisions for EU enterprises:
GDPR Requirements
Where AI processing involves personal data โ customer interactions, employee data analysis, personalisation โ GDPR requires a Data Processing Agreement (DPA) with the AI vendor as data processor. Key DPA provisions specific to AI: purpose limitation (ensure the DPA restricts processing to the specific AI services you are using, not "AI services generally"), sub-processor chains (AI inference frequently involves multiple sub-processors โ each must be covered), and data subject rights support (the vendor must be able to support your GDPR data deletion and access obligations within statutory timeframes).
EU AI Act Compliance
The EU AI Act, which entered into force in 2024 and applies progressively through 2027, imposes obligations on both AI providers and deployers. For enterprises deploying AI in "high-risk" categories (HR decisions, credit scoring, biometric identification, critical infrastructure), the AI Act requires: transparency documentation from the AI vendor, human oversight mechanisms in the deployment, and ongoing monitoring of AI system performance. Ensure your AI vendor agreements include provisions for: access to the technical documentation required for EU AI Act conformity, cooperation with your own AI Act compliance programme, and notification of material changes to the AI system that could affect compliance status.
7. Exit Rights and Data Portability
Exit provisions in AI agreements are where the long-term cost of lock-in crystallises. Essential provisions:
- Data export on termination: All data you have provided to the vendor โ fine-tuning datasets, prompt logs, embeddings โ must be exportable in a standard format within 30 days of termination. Without explicit export rights, your data may be effectively inaccessible on exit.
- Model weight export (for fine-tuned models): If you fine-tune a vendor's model, negotiate the right to export the fine-tuned model weights. This right is sometimes granted, sometimes not โ but it must be asked for explicitly before signing.
- Termination for convenience: Require the right to terminate for convenience with 30โ60 days' notice, without penalty, for agreements of less than two years. Longer commitments warrant price protection in exchange for reduced flexibility.
- Migration assistance: Negotiate a post-termination transition period (typically 90 days) during which the vendor provides reasonable assistance to support migration to an alternative platform.
