  • The AI uplift on 2026 renewals is running 20 to 37 percent while frontier model costs fell 93 percent over two years and vendor infrastructure costs fell 40 to 70 percent. That gap is your entire argument for a price hold clause.
  • Discount percentage is the least durable thing you win. A 22 percent Copilot discount evaporates on a repricing renewal; a price hold clause with a defined tier-collapse protection survives it.
  • Unit definition beats unit price on agent meters. A three-action ticket costs $0.30 on Flex Credits and $2.00 on the Conversations SKU, a 6.7x swing on identical work, and the contract rarely defines which unit applies.
  • Swap rights are the highest-value clause almost nobody tables. Modelled at a $4.2M three-year GenAI commitment, a 25 percent annual reallocation right between seats, agents and tokens is worth more than another five points of discount.
  • Tier collapse is the vendor's preferred repricing weapon: ServiceNow retired four tiers in April 2026 and rebuilt around AI-native pricing with no separate AI SKU to decline. The successor-SKU clause is the only defence and it must be signed before the collapse, not after.
