Oracle ULA - How to do Oracle ULA review For more information about Oracle ULA - read our article at https://redresscompliance.com/oracle-ula-certification-this-is-how-you-exit/ Oracle ULA contract review | 4 terms every company MUST negotiate & 2 terms that you can skip 00:00​​ Reviewing State of Montana ULA (publicly available) 00:05 High level description of what is an Oracle ULA 00:30 Fredrik talks about the main page of the Oracle ULA contract, which is the ordering document. 01:00​ Fredrik says that he doesn't like contracts that mix Unlimited and fixed quantities, because you will be locked into paying support for all products. 01:40​ Fredrik googled and found out from Montana State Legislature document that they signed the ULA because they were audited by Oracle for VMware. 02:15 Fredrik says that ULA contracts signed at the end of an license audit are usually over-priced 02:45 Looks at the licensing fees and support fees that the customer needs to pay to oracle. 03:05 Customer definition/appendix is the most important contract term to negotiate. Fredrik says they have a non-standard customer definition that has been negotiated. 03:43 Territory clause is important to negotiate 03:50 You must negotiate the technical support cost, it will save you money. You negotiate the technical support cap (which increases by 4% YoY) 04:25 Listing all older support contracts that will be terminated and all old support contracts will be ONE support stream. 04:40 What is the big DECISION all Oracle ULA customers must make, is that they give away the right to terminate support per contract 05:05 Fredrik says that if you want to reduce ULA costs, your only choice is third party support provider like Spinnaker. 1. Exit ULA 2. Move to third party support. 05:35 The more legacy support you have, the more willing Oracle is to get you to sign a ULA contract. 05:55 Fredrik says that Oracle is essentially a large maintenance company. 06:15 Fredrik talks about UNLIMITED DEPLOYMENT RIGHT contract term. This is not a standard clause, which was negotiated by State of Montana. 06:40 Certification process is "how do you exit your ULA" Fredrik says its very important to negotiate this contract term. 07:00 When can you be in breach of your Oracle ULA contract? 07:20 If you want to start saving money on your ULA, you need to exit your Oracle ULA 07:33 State of Montana negotiated a text saying there is no true up of support if you exit your ULA. That is not needed. 08:08 They also negotiated a 1 year no audit clause, this is not important as Oracle will not audit ULA customers. They also dont audit more than 1 time in 3 years. Fredrik says the clause is almost pointless. 08:57 Fredrik thinks its unlikely that this customer managed to exit their ULA, as Oracle almost always finds out of compliance when ULA is expiring. 09:25 Legal entities/appendix - must be prepared by legal and reviewed.
